Copenhagen Business School invites applications for a chair/Professorship in Governance, Regulation, Risk and Compliance at the Center for Corporate Governance (CCG), which is a part of Department of International Economics and Management (INT).
CCG is one of the leading centers, in the area of corporate governance research, in Europe. Historically, our research and teaching have focused on board work, industrial foundations and board diversity. Lately, the center has also had increasingly focus on board strategy, risk management and regulation, especially in the financial sector.
Governance, risk and compliance are increasingly seen as a whole. International board work is becoming gradually more complex, new risk factors are emerging, and many business activities are getting significantly more regulated by various kinds of external and governmental bodies. These factors are becoming an essential part of modern board work; their impact on long term economic performance is still to be assessed, however.
In recent years board work has become regulated to an unprecedented extent, particularly in the financial sector, and new governance models have emerged. Regulators have sought to influence shareholders (e.g. the European Shareholder Rights Directive), board behavior (e.g. corporate governance codes), executive compensation (e.g. Say on Pay), auditing (e.g. mandatory rotation of auditors), disclosure, risk taking, capital structure and many other aspects of the corporate governance system. However, the rationale and impact of this massive intervention as a whole remain unclear and the processes which drive it are poorly understood. CCG addresses some of these emerging questions in an innovative major research project, entitled “Nordic Finance and the Good Society”. More information may be found at https://sf.cbs.dk/nfgs_uk.
This new chair in Governance, regulation, risk and compliance, will contribute to the research project and is expected to be active in the European policy debate. Academically, important research areas will include the (political) origins and (economic) effects of governance and regulation including the long term consequences of complexity as more layers are added to existing laws. This will include cost-benefit analyses of regulation and studies of regulatory processes as they unfold in politics and public administration. The scope for push back and dismantling of harmful regulation will also be a key concern.
Examples of research areas that the chair might cover:
• Regulation inside the European Union and the consequences of it. What are the consequences in terms of cost, innovation, flexibility, employment and value creation? The need for simplification is obvious, but how should it be achieved? What is the minimum regulation consistent with social and business efficiency?
• In this new operating environment, how do boards manage and mitigate internal and external risks? What are the real-life consequences of this new order in the terms of other, more traditional board responsibilities (like strategic development, CEO selection, compensation policies, etc.)?
