The file format changes for one. The free converter kits from Microsoft can patch Office 2003 so they open documents, but some templates don't work with the converters. Also there is the issue of possible features that are lost in the conversion process. I don't have any examples of what may or may not convert correctly, but I do know that even with the converters installed across the board here, they're not a guaranteed solution to avoid the upgrade.
